Organic Print Studio is operated by Susy Kennedy as trustee for the S & J Kennedy Family Trust, ABN 52 378 315 462.

These Terms and Conditions apply to products and services purchased directly from Organic Print Studio, including orders placed through our website, by email, by invoice or through another agreed ordering method.

In these Terms, “Organic Print Studio”, “I”, “me” and “my” refer to Susy Kennedy as trustee for the S & J Kennedy Family Trust, trading as Organic Print Studio.

“Customer”, “you” and “your” refer to the individual, business, school, organisation or other entity purchasing or requesting products or services from Organic Print Studio.

1. Acceptance of these Terms

By submitting an order, accepting a quotation, approving artwork, making payment or instructing Organic Print Studio to begin work, you agree to these Terms and Conditions.

If you place an order on behalf of a business, school, organisation or another person, you confirm that you have authority to act for and bind that party.

 

You must be at least 18 years old or have the involvement and permission of a parent, guardian or other authorised adult to enter into an order.

 

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under the Australian Consumer Law.

2. Orders and contract formation

Submitting an online order or accepting a quotation is an offer to purchase the specified products or services.

 

An automated website or payment acknowledgement confirms that the order or payment has been received. It does not necessarily mean the order has been reviewed or accepted.

Before accepting an order, Organic Print Studio may need to confirm:

Organic Print Studio may decline an order before acceptance where the requested product, artwork, quantity, deadline or delivery requirement cannot reasonably be accommodated.

 

If payment has been made for an order that is not accepted, the amount paid will be refunded.

3. Quotations

A quotation remains valid for the period stated on the quotation. If no validity period is shown, please confirm the price before accepting it.

Any additional charge will be disclosed or agreed before it is incurred.

 

Organic Print Studio takes reasonable care to keep prices and product information accurate.

 

If a material pricing, description or availability error is identified before an order is accepted, you will be contacted and given the option to proceed using the corrected information or cancel the order.

 

If an error is discovered after acceptance, Organic Print Studio will not increase the agreed price without your consent. If the order cannot reasonably be supplied as agreed, you will be offered an appropriate alternative or a refund for the affected portion of the order.

5. Payment

Payment may be made through:

Organic Print Studio does not store complete credit-card numbers or card security codes. Payments made through PayPal are processed under PayPal’s own terms and privacy practices.

 

Unless otherwise agreed in writing, full payment is required before production begins.

 

For some orders, an agreed deposit or staged payment arrangement may apply. The relevant payment requirements will be shown on the quotation or invoice.

 

You are responsible for using the correct payment reference and allowing sufficient time for bank-transfer payments to clear.

 

Production may be delayed until cleared payment has been received.

 

Ownership of physical products remains with Organic Print Studio until the amount due for those products has been paid in full.

6. Customer information

You must provide information that is complete and accurate, including:

Organic Print Studio is not responsible for avoidable delays or additional costs caused by incomplete, incorrect or late information supplied by the customer, except to the extent that Organic Print Studio contributed to the problem.

7. Website accounts

The website may allow customers to place orders as a guest or create a customer account, depending on the checkout options available at the time.

If you create an account, you are responsible for:

Organic Print Studio may suspend an account where reasonably necessary to protect the website, the customer or the business from suspected fraud, misuse or security risks.

 

Account and personal information is handled in accordance with the Privacy Policy.

8. Products and availability

Organic Print Studio creates custom-printed textile products, including tea towels, tote bags, aprons, napkins and pencil cases or clutches.

 

Product descriptions, dimensions and fabric information are provided as accurately as reasonably possible.

Because textiles are flexible materials, minor reasonable variations may occur in:

These characteristics do not automatically indicate a fault. Products must still be of acceptable quality and reasonably match their description in accordance with the Australian Consumer Law.

 

Product and fabric availability may change.

If a selected item becomes unavailable after an order is accepted, Organic Print Studio will contact you to discuss:

No substitution that materially changes the agreed order will be made without your approval.

9. Customer-supplied artwork

You retain ownership of any copyright or other intellectual-property rights that you already hold in artwork supplied to Organic Print Studio.

By supplying artwork, photographs, logos, text or other material, you grant Organic Print Studio a non-exclusive, royalty-free licence to:

This licence is limited to what is reasonably required to quote, prepare, produce, deliver and support your order.

 

Organic Print Studio will only use customer artwork, photographs, finished products or project information in public marketing with your permission.

10. Your rights and permissions

By supplying material to Organic Print Studio, you confirm that:

Organic Print Studio is not responsible for independently verifying the ownership or licensing history of every item supplied by a customer.

 

If you are unsure whether you have permission to reproduce something, you should obtain advice or permission before submitting it.

11. Unacceptable or unlawful material

Organic Print Studio may refuse, suspend or cancel work involving material that reasonably appears to:

Where reasonably possible, Organic Print Studio will explain the concern and allow the customer to provide permission, clarification or replacement artwork.

 

If an order is cancelled for this reason, any refund will fairly account for work already completed and costs already incurred, provided those costs were disclosed or agreed. This does not affect any non-excludable legal rights.

12. Artwork preparation and design services

Organic Print Studio may provide services such as:

Any applicable design or artwork charge will be disclosed or agreed before substantial additional work begins.

 

Artwork preparation is intended to make supplied material suitable for the agreed product and print process. It does not guarantee that poor-quality, incomplete or unsuitable original material can be reproduced perfectly.

 

Organic Print Studio may use design, cloud-based, editing and AI-assisted tools in accordance with the Privacy Policy.

13. Original designs created by Organic Print Studio

Unless otherwise agreed in writing, Organic Print Studio owns all copyright and other intellectual-property rights in original design work created by Organic Print Studio for a customer.

Once the agreed fees have been paid in full, the customer receives an ongoing, non-exclusive, royalty-free licence to:

This licence does not transfer ownership of the design to the customer.

Unless separately agreed in writing, the customer may not:

Permission for use outside these terms may be requested and may be subject to a separate licence, design-release fee or file-supply fee.

14. Proofs, working files and production files

Customers generally receive digital proofs or mock-ups for approval and the completed physical products.

 

Editable working files, layered files, source files and high-resolution print-ready production files are not included unless separately agreed in writing.

 

Payment for design or artwork preparation does not automatically transfer ownership of the working files, production methods or intellectual property.

 

If Organic Print Studio agrees to supply a production or editable file, the permitted use, fee and any licence conditions will be confirmed separately.

15. Reuse of design knowledge and elements

Organic Print Studio will not reproduce a customer’s complete custom design for another customer without permission.

However, Organic Print Studio may continue to use its general:

Designs may also contain fonts, stock assets, software elements or other third-party materials licensed to Organic Print Studio.

 

Those third-party elements may not be exclusive to one customer and remain subject to the rights and licence conditions of their respective owners.

16. Artwork approval

You are responsible for carefully checking each proof before approval.

Please check:

Approval may be given by email, through the website or by another clear written instruction.

 

Once approved, Organic Print Studio will rely on the proof when producing the order.

Organic Print Studio is generally not responsible for errors that:

Artwork approval does not remove your rights where Organic Print Studio makes a separate printing, manufacturing or supply error.

17. Changes after approval

Changes requested before artwork approval may result in additional artwork or design charges if they fall outside the work originally quoted.

Changes requested after artwork approval may:

Organic Print Studio will confirm whether a requested change is possible and disclose any additional charge before proceeding.

 

A change is not effective until Organic Print Studio confirms it in writing.

18. Digital proofs, samples and colour reproduction

Digital proofs and mock-ups are primarily intended to confirm:

They are not exact physical colour proofs.

 

Artwork viewed on a backlit computer, tablet or telephone screen may appear different when printed onto fabric.

The finished result can be affected by:

The same artwork may appear different on Soft White organic cotton, Natural organic cotton and premium linen.

 

Where exact or especially close colour reproduction is important, you should request and approve a printed sample on the selected fabric before the full order is produced.

 

Even after a sample is approved, minor reasonable textile and production variation may still occur.

19. White areas in artwork

Organic Print Studio does not print white ink.

 

White or transparent areas in supplied artwork will generally appear as the underlying fabric colour.

This means that a white area may appear:

It is the customer’s responsibility to review and approve how this is represented in the artwork proof.

20. Customer delays

Production depends on timely receipt of:

If the customer delays supplying information, approval or payment:

Organic Print Studio will not be responsible for a deadline missed because information, approval or payment was not provided in sufficient time.

21. Production times and deadlines

Most orders are produced within the timeframe described in the Shipping & Delivery Policy, beginning after final artwork approval, payment and receipt of all required information.

 

Production times are estimates unless Organic Print Studio expressly agrees in writing to a fixed deadline.

 

Larger orders, complex artwork, physical sampling, stock availability and busy studio periods may require additional time.

 

Please advise Organic Print Studio of any event, launch, market or fundraising deadline before confirming the order.

 

Organic Print Studio will advise whether the requested timeframe appears reasonably achievable but cannot guarantee circumstances controlled by postal carriers, couriers, customs authorities or events outside the business’s reasonable control.

22. Cancellations and change of mind

Because Organic Print Studio products are custom printed and made to order, cancellations and change-of-mind requests are handled as follows.

 

Before artwork preparation begins

If an order is cancelled before artwork preparation or other work begins, the customer may receive a full refund.

 

After artwork or design work begins

If artwork preparation, design, file repair or layout work has been completed but production has not begun, a refund may be reduced by agreed or disclosed charges for work already completed.

 

After artwork approval or production begins

Once artwork has been approved or production has begun, the order cannot generally be cancelled, changed, returned or refunded for change-of-mind reasons.

This does not affect any rights relating to faulty, incorrectly supplied or otherwise non-compliant products under the Australian Consumer Law.

23. Shipping and delivery

Standard tracked shipping to one Australian address is included with Australian parcels.

Additional charges may apply for:

Orders are generally delivered through Australia Post or another suitable tracked provider.

 

Production and delivery times are separate. Express shipping does not automatically shorten artwork preparation or production time.

 

Delivery estimates are not guaranteed and may be affected by carrier delays, weather, public holidays, customs processing, remote destinations or other events outside Organic Print Studio’s reasonable control.

 

Organic Print Studio will assist with reasonable enquiries about delayed, lost, damaged or incorrectly delivered parcels.

24. Returns, faults and remedies

Please contact Organic Print Studio if a product:

Organic Print Studio may assess the products, photographs, approved artwork and order records before confirming the appropriate remedy.

Depending on the circumstances and the Australian Consumer Law, a remedy may include:

Customers are not generally entitled to a remedy for a simple change of mind or for an error present in supplied artwork and clearly visible in the approved proof.

25. Australian Consumer Law

Our products and services come with guarantees that cannot be excluded under the Australian Consumer Law.

Nothing in these Terms excludes, restricts or modifies any:

If these Terms conflict with a non-excludable right under the Australian Consumer Law, that legal right prevails.

26. Promotions and discount codes

Promotions, discount codes and special offers may be subject to additional conditions disclosed with the offer.

Unless otherwise stated:

Nothing in this section limits rights that cannot lawfully be excluded.

27. Privacy and customer files

Personal information and customer files are collected, stored, used and disclosed in accordance with the Organic Print Studio Privacy Policy.

Placing an order or submitting an enquiry does not automatically subscribe a customer to promotional emails.

28. Website content and Organic Print Studio intellectual property

Unless otherwise stated, Organic Print Studio owns or is licensed to use the content on its website, including:

You may view and use the website for personal or legitimate business purchasing purposes.

You must not, without permission:

Nothing in these Terms transfers ownership of Organic Print Studio’s business name, branding, website content or other intellectual property.

29. Third-party websites and services

The website may link to independent third-party websites or services, including payment, social-media, delivery or design platforms.

 

Links are provided for convenience and do not mean Organic Print Studio controls or endorses every aspect of the third-party service.

Third-party platforms operate under their own terms, availability, security and privacy practices.

 

Organic Print Studio is not responsible for content or conduct controlled solely by an independent third party, except to the extent that responsibility cannot lawfully be excluded.

30. Limitation of liability

To the extent permitted by law, Organic Print Studio is not responsible for loss or damage that:

Nothing in this clause limits a customer’s right to recover reasonably foreseeable loss or damage where that right arises under the Australian Consumer Law.

31. Customer indemnity

To the extent permitted by law, you are responsible for reasonable loss, liability or expense directly caused by:

32. Events outside reasonable control

Organic Print Studio is not responsible for delay caused by events outside its reasonable control, including:

If the delay becomes unreasonable and the uncompleted portion of the order can no longer reasonably proceed, either party may request cancellation of that uncompleted portion.

 

Any refund will fairly account for products or services already supplied and agreed work already completed, while preserving all rights that cannot lawfully be excluded.

33. Suspension or cancellation by Organic Print Studio

Organic Print Studio may suspend or cancel an order where reasonably necessary because:

Any cancellation and refund will be handled fairly, taking into account work already completed, costs already incurred and the customer’s rights under the Australian Consumer Law.

34. Changes to these Terms

Organic Print Studio may update these Terms to reflect changes to:

The current version will be published on the website with its last-updated date.

The Terms in effect when an order is accepted will continue to apply to that order.

 

Updated Terms apply to later orders and will not retrospectively change an accepted order unless both parties agree or a change is required by law.

35. Notices and communication

Order-related communication may be sent using the email address or contact details supplied by the customer.

 

You are responsible for monitoring the email address used for the order and notifying Organic Print Studio of any change.

An email is treated as received when it reaches the recipient’s email system, unless the sender receives a delivery-failure notification.

 

This does not prevent either party from showing that an email was not actually received because of a technical problem.

36. No waiver

If Organic Print Studio does not immediately enforce a provision of these Terms, that does not mean the provision has been waived.

 

A waiver is effective only if it is clearly given in writing.

37. Severability

If a court or tribunal finds that part of these Terms is invalid, unlawful or unenforceable, that part will be read down or removed to the minimum extent necessary.

 

The remaining provisions will continue to operate where they can do so independently.

38. Entire agreement

These Terms, together with:

form the agreement between Organic Print Studio and the customer concerning the order.

 

Any change must be agreed clearly in writing.

Nothing in this clause excludes a representation, guarantee or right that cannot lawfully be excluded.

39. Governing law

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the courts and tribunals of Victoria and any courts entitled to hear appeals from them.

 

This clause does not prevent a customer from exercising a legal right to bring a claim in another jurisdiction where that right cannot lawfully be excluded.
